The Constitution

The full Constitution of the Angolan Association in Johannesburg — the foundation of how we are governed and operate.

Name of the Organisation

Angolan Association in Johannesburg (Associação Angolana em Joanesburgo).

Legal Status

  • The Organisation is a voluntary association with legal personality separate from its members.
  • It is a non-profit organisation (NPO) and shall exist in its own right.
  • The Organisation shall continue to exist even if membership changes.

Area of Operation

The Organisation shall operate primarily in Johannesburg, and may extend its activities elsewhere in the Republic of South Africa.

Objectives

  • Promote unity and solidarity among Angolan nationals
  • Preserve and promote Angolan culture and heritage
  • Assist members with social, legal and educational support
  • Facilitate integration into South African society
  • Organise cultural, social and educational programmes

Powers of the Organisation

  • Raise funds and receive donations
  • Open and operate bank accounts
  • Enter into contracts
  • Acquire and dispose of property (excluding immovable property unless approved by members)
  • Do anything lawful necessary to achieve its objectives

Membership

6.1 Eligibility

Membership is open to individuals who support the objectives of the Organisation.

6.2 Types of Membership

  • Founding Members
  • Ordinary Members
  • Honorary Members

6.3 Admission

Members shall be admitted by approval of the Executive Committee.

6.4 Rights of Members

  • Attend and vote at General Meetings
  • Elect leadership
  • Participate in activities

6.5 Duties of Members

  • Abide by this Constitution
  • Pay membership fees (if applicable)
  • Support the Organisation's objectives

Structure of Governance

7.1 General Assembly (AGM)

The AGM is the highest decision-making body. Powers: elect office bearers, approve financial reports, amend the Constitution.

7.2 Executive Committee

The Organisation shall have at least three office bearers: Chairperson, Secretary, Treasurer (additional roles may include Vice-Chairperson).

Duties: manage day-to-day affairs, implement decisions, represent the Organisation.

Terms of Office

Office bearers shall serve for a period of three (3) years, and may be re-elected.

Meetings and Quorum

9.1 Annual General Meeting

  • Held once per year
  • Quorum: 50% + 1 of members

9.2 Executive Meetings

  • Held as needed
  • Quorum: Majority of committee members

Financial Matters

10.1 Bank Account

  • The Organisation must open a bank account in its name
  • At least two signatories are required

10.2 Use of Funds

  • Funds must be used solely for the Organisation's objectives
  • No member shall receive financial benefit

Non-Profit Distribution Constraint

The income and property of the Organisation shall be used solely for its objectives and shall not be distributed to members or office bearers, except as reasonable compensation for services rendered.

Accounting and Reporting

  • Proper accounting records shall be kept
  • Annual financial statements must be prepared
  • Reports must be presented at the AGM

Changes to the Constitution

This Constitution may be amended by a resolution passed by at least two-thirds (2/3) of members present at a General Meeting.

Dissolution

  • Assets shall be transferred to another non-profit organisation with similar objectives
  • No member shall receive any financial benefit
